1. Acceptance of Terms
By accessing this website or purchasing any product from Lumivux LLC, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use this site or purchase any products. These Terms constitute a legally binding agreement between you and Lumivux LLC, a California limited liability company registered at 1998 Port Edward Circle, Newport Beach, CA 92660 ("Lumivux," "we," "us," or "our").
2. Eligibility
You must be at least 21 years of age to access this site or purchase any products. By using this site, you represent and warrant that you are at least 21 years of age. We reserve the right to refuse service to anyone we believe to be under 21 or misrepresenting their age or qualifications.
3. Research Use Only
ALL PRODUCTS SOLD BY LUMIVUX LLC ARE STRICTLY FOR LABORATORY AND SCIENTIFIC RESEARCH PURPOSES ONLY. They are not intended for human or animal consumption, self-administration, diagnostic use, therapeutic use, or any purpose outside of controlled research settings. By purchasing any product from Lumivux LLC, you represent, warrant, and agree that: a) You are a qualified researcher or are purchasing solely for legitimate scientific research purposes; b) You will not use any product purchased from Lumivux LLC for human or animal consumption or self-administration of any kind; c) You understand that these products are research chemicals and are not drugs, dietary supplements, food products, or cosmetics; d) You assume full and sole responsibility for the handling, storage, and use of any product purchased from Lumivux LLC; e) You will comply with all applicable federal, state, and local laws and regulations governing the purchase, possession, and use of research chemicals in your jurisdiction; f) You are not purchasing these products on behalf of any person who intends to use them for human or animal consumption.
4. Not FDA Evaluated
The products sold by Lumivux LLC have not been evaluated or approved by the United States Food and Drug Administration (FDA). These products are not intended to diagnose, treat, cure, or prevent any disease or medical condition. No medical claims are made or implied. Nothing on this site constitutes medical advice.
5. Assumption of Risk and Full Release of Liability
BY PURCHASING FROM LUMIVUX LLC, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT: a) Research chemicals carry inherent risks and hazards; b) You have independently researched and assessed the risks associated with the products you are purchasing; c) You assume all risks — known and unknown — associated with the purchase, handling, storage, and any use of products purchased from Lumivux LLC; d) Lumivux LLC, its owners, members, officers, employees, agents, successors, and assigns shall not be liable for any injury, illness, death, property damage, financial loss, or any other harm of any kind arising from or related to your purchase or any use of any product, whether such use is intended or unintended, foreseeable or unforeseeable; e) You release, waive, discharge, and covenant not to sue Lumivux LLC and its owners, members, officers, employees, agents, successors, and assigns from any and all claims, demands, damages, actions, causes of action, or suits of any kind arising from or related to your purchase or use of any product.
6. Indemnification
You agree to indemnify, defend, and hold harmless Lumivux LLC and its owners, members, officers, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: a) Your purchase or use of any product; b) Your violation of these Terms; c) Your violation of any applicable law or regulation; d) Any misrepresentation made by you in connection with your purchase; e) Any third-party claims arising from your use or distribution of any product purchased from Lumivux LLC.
7. Prohibited Purchases
You may not purchase products from Lumivux LLC if you intend to use them for human or animal consumption, self-administration, or resale for human consumption. We reserve the right to refuse, cancel, or reverse any order if we have reasonable grounds to believe the products will be misused or if you have provided false information in connection with your purchase.
8. No Warranty
ALL PRODUCTS ARE SOLD "AS IS" AND "AS AVAILABLE." LUMIVUX LLC MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR PRODUCTS WILL MEET YOUR RESEARCH REQUIREMENTS OR THAT THEY ARE FREE FROM DEFECTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUMIVUX LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, OR DEATH, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR PRODUCTS, EVEN IF LUMIVUX LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.
10. Orders, Payment, and Shipping
All orders are subject to acceptance and availability. We reserve the right to refuse any order at our sole discretion. Prices are subject to change without notice. We ship within the United States only. You are solely responsible for ensuring that receipt and possession of our products complies with all laws in your jurisdiction. We are not responsible for any orders seized, delayed, or confiscated by any authority.
11. All Sales Final
Due to the nature of our products, all sales are final. We do not accept returns. If you receive a damaged or incorrect product, you must contact us at [email protected] within 5 business days of receipt with photographic evidence.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising under or related to these Terms or your purchase shall be resolved exclusively in the state or federal courts located in Orange County, California. You consent to personal jurisdiction in such courts and waive any objection to venue.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms constitute the entire agreement between you and Lumivux LLC with respect to your use of this site and purchase of products, and supersede all prior agreements and understandings.
15. Changes to Terms
We reserve the right to update these Terms at any time without prior notice. Changes will be posted with an updated date. Your continued use of this site or purchase of products after any changes constitutes your acceptance of the revised Terms.
